Back Office is committed to providing customer-friendly technical assistance during normal Back Office technical assistance hours. Back Office is also committed to providing Back Office customer service in the form of an email and phone during regular customer support hours. In return for back-office, which provides the following hosting services, the client agrees to pay Back Office`s total monthly fee based on monthly hosting services and the terms and conditions chosen. (a) this agreement takes effect from the effective date and continues unless it is denounced; (b) Back Office may terminate this contract after five (5) days of written notification to the customer if the customer substantially violates this agreement, including, but not only non-payment, and does not terminate this violation for such a period of five (5) days; and (c) after the termination of this contract, the customer pays back office for all services provided to the Back Office Customer prior to termination. Sections 2, 3, 4, 5, 9, 11 and 12 are maintained beyond the termination of this agreement. Back Office` LIABILITY HEREUNDER SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO Back Office DURING THE THREE (3) MONTH PERIOD BEFORE THE ACTION AROSE. Back Office SHALL NOT BE LIABLE FOR (A) ANY LOSS OF USE, LOSS OF DATA, OR INTERRUPTION OF BUSINESS OR (B) ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOST PROFITS), REGARDLESS OF THE FORM OR ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF Back Office HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CUSTOMER ACKNOWLEDGES THAT THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THIS AGREEMENT, AND ABSENT SUCH LIMITATIONS, BACK OFFICE WOULD NOT ENTER INTO THIS AGREEMENT. “background technology,” a computer programming/formatting code or user manual developed by or for back office and used to host or operate the website or web server in conjunction with a website. Background technology includes, among other things, all the files needed to create forms, buttons, control boxes and other underlying functions and technologies or components, such as sheets. Basic technology does not contain customer content. Customers cannot replicate or distribute basic technology to third parties without Back Office`s prior written consent.
All substantive technology rights that are not expressly granted to the client are retained in Back Office. Without limitation of the above, the customer undertakes not to do backbone engineering, reverse assembly, decompilation or other attempt to deduce a source code from the background technology, unless authorized by law. Back Office provides the customer with 5 to 10 business days of the ordered services described in the order preview. The customer understands and accepts that Back Office hosts and creates the site only in accordance with the information provided by the customer. (a) compensation to the customer. The customer will defend Back Office against claims, actions, actions, actions or proceedings of a third party that may violate the obligations provided in the section.
